Please read these Terms of Service ("Terms") carefully before using the Qualecta website at qualecta.com and platform at app.qualecta.com (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

• "Qualecta", "we", "us" — Karol Sobczak, ul. Klaudyny 32D, 01-684 Warszawa, Poland.
• "User", "you" — any individual or legal entity that accesses or uses the Service.
• "Account" — the registered account created to access the Service.
• "Data" — any files, databases, or content uploaded to or processed by the Service.
• "Subscription" — a paid or trial plan granting access to the Service.

2. Acceptance of Terms

By creating an Account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms (on behalf of yourself or the organisation you represent), and agree to comply with them. If you do not agree, you must not use the Service.

3. Account Registration

To use the Service, you must create an Account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your Account.
• Notifying us immediately at sales@qualecta.com of any unauthorised use.

We reserve the right to suspend or terminate Accounts that provide false or misleading information.

4. The Service

Qualecta provides an AI-powered business analytics platform that allows users to connect data sources, query data using natural language, and generate insights and reports. We reserve the right to modify, update, or discontinue features of the Service at any time, with reasonable notice where possible.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Upload data that you do not have the right to use or share.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, spam, or harmful content.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.

6. Subscriptions and Payment

Access to certain features of the Service requires a paid Subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of subscription.
• Provide accurate billing information.
• Automatic renewal of Subscriptions unless cancelled before the renewal date.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: Payments are generally non-refundable unless required by applicable law or expressly agreed in writing.

7. Your Data

You retain full ownership of all Data you upload to the Service. By using the Service, you grant Qualecta a limited, non-exclusive licence to process your Data solely for the purpose of providing the Service.

We will not access, use, or disclose your Data except as necessary to provide the Service or as required by law. See our Privacy Policy for details.

You are responsible for ensuring you have the right to upload and process all Data, including that it does not violate third-party rights or applicable data protection laws.

8. Intellectual Property

All intellectual property rights in the Service — including the software, design, algorithms, trademarks, and documentation — are owned by or licensed to Qualecta. Nothing in these Terms grants you any right in our intellectual property other than the limited right to use the Service as described herein.

You may not copy, reproduce, distribute, or create derivative works of any part of the Service without our express written permission.

9. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party and to use it solely for the purpose of performing obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Availability and Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. Support is available via sales@qualecta.com.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that insights generated will be accurate or complete.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Qualecta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to Qualecta in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.

Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence, where such limitation is prohibited by law.

13. Termination

You may terminate your Account at any time by contacting us at sales@qualecta.com.

We may suspend or terminate your Account immediately if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to access the Service ceases. Your Data will be deleted within 30 days of account closure, unless retention is required by law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Poland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
